Terms of Service

1. Who we are
OrbitCowork ("OrbitCowork", "we", "us", "our") is a team collaboration platform operated by Orbit Labs South Africa (PTY) LTD, a company registered in South Africa ("Orbit Labs"). By creating an account or otherwise using OrbitCowork, you enter into a binding agreement with Orbit Labs South Africa (PTY) LTD on these Terms of Service ("Terms").
2. Acceptance of these Terms
By accessing, browsing, signing up for, or continuing to use OrbitCowork in any way, you agree to be bound by these Terms. If you are using OrbitCowork on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree with any part of these Terms, you must stop using the service.
3. The service
OrbitCowork provides a workspace for documents, tasks, calendars, chat, and meetings. Features available to your account depend on the plan you are subscribed to. We may add, change, or remove features over time.
4. Your account
- You must provide accurate information when registering and keep it up to date.
- You are responsible for keeping your login credentials confidential and for all activity under your account.
- You must promptly tell us if you suspect unauthorized access to your account.
5. Acceptable use
You agree not to misuse OrbitCowork. In particular, you must not:
- Use the service for any unlawful, fraudulent, or deceptive purpose, or to send spam.
- Upload, store, or transmit content that infringes intellectual property rights, is defamatory, or violates the rights of others.
- Attempt to gain unauthorized access to the service, other accounts, or our infrastructure, or interfere with security (including malware, vulnerability probing, or scraping).
- Reverse engineer, decompile, or attempt to extract source code, except where law expressly permits.
- Resell, sublicense, or redistribute the service without our written permission.
- Circumvent or disable any technical limits, rate limits, or access controls.
6. Your content
You retain ownership of the content (documents, files, messages, tasks) that you upload to OrbitCowork. You grant Orbit Labs a limited, worldwide, non-exclusive license to host, store, copy, transmit, and display your content solely for the purpose of operating and improving the service for you.
7. Intellectual property
OrbitCowork, including its software, design, documentation, branding, logos, and all related intellectual property, is owned by Orbit Labs South Africa (PTY) LTD or its licensors. We grant you a limited, non-exclusive, non-transferable right to use OrbitCowork in accordance with your selected plan and these Terms. No other rights are granted.
8. Payment, subscriptions, and billing
Paid plans (such as "Plus") are billed in advance on a recurring basis. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries related to billing and handles returns. Payment, billing, taxes, cancellations, and refunds are governed by Paddle's Buyer Terms as well as our Refund Policy below.
Subscriptions automatically renew at the end of each billing period at the then-current price unless cancelled before renewal. You can cancel at any time from your account settings or the customer portal provided by Paddle. Cancellation takes effect at the end of the current paid period.
9. Refunds
We offer a 30-day money-back guarantee on paid subscriptions. See our Refund Policy for details on how to request a refund.
10. Service availability
We work hard to keep OrbitCowork available, but we do not guarantee uninterrupted, error-free, or secure operation. The service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of liability
To the fullest extent permitted by law, Orbit Labs South Africa (PTY) LTD will not be liable for any indirect, incidental, consequential, special, or exemplary damages, including loss of profits, revenue, data, or goodwill, arising out of or relating to your use of OrbitCowork. Our aggregate liability for any claim relating to the service is capped at the amount you paid us for the service in the twelve (12) months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law (such as fraud, death, or personal injury caused by negligence).
12. Indemnification
You agree to defend and indemnify Orbit Labs against claims, damages, and expenses arising from (a) content you upload, (b) your unlawful or unauthorized use of the service, or (c) your breach of these Terms.
13. Suspension and termination
We may suspend or terminate your access to OrbitCowork if:
- You materially breach these Terms or our Acceptable Use rules;
- Your account has unpaid fees;
- We reasonably believe your activity poses a security, legal, or fraud risk; or
- You repeatedly violate our policies or applicable law.
You may stop using OrbitCowork and delete your account at any time. On termination, your right to use the service ends immediately. We will provide a reasonable window to export your content before deletion, after which we may delete data in accordance with our Privacy Notice.
14. Changes to the service or Terms
We may update OrbitCowork and these Terms from time to time. If we make material changes, we will notify you (for example, by email or in-app notice) before they take effect. Continued use after the changes take effect constitutes acceptance of the updated Terms.
15. Governing law
These Terms are governed by the laws of the Republic of South Africa, without regard to its conflict of laws rules. The courts of South Africa will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the service, unless local law requires otherwise.
16. Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
17. Force majeure
Neither party will be liable for delays or failures in performance caused by events beyond its reasonable control, including natural disasters, war, terrorism, internet outages, or government action.
